Governance

The Governance That Guides Us

Syngene’s three-tier governance model includes the Board of Directors and its Committees, the Managing Director & Chief Executive Officer (MD&CEO), and the Executive Committee of the Management. The Board provides guidance and oversight, while the Management is accountable for achieving defined objectives.

Our Governance Framework

Our governance framework supports business resilience and sustainability objectives through strong oversight, regular policy reviews, and continuous improvement. Executive management drives operational performance, while Board-level Committees provide strategic oversight across key areas.

Ethics & Compliance

Building a Culture of Integrity

Our ethics framework combines policies, controls, reporting mechanisms, and fair investigation processes to promote responsible decision-making across the organization.

Highlights

  • Mandatory Code of Conduct certification for all employees
  • Training on conflict of interest, anti-bribery, prevention of sexual harassment, data privacy, and professional integrity
  • External Board effectiveness assessment every three years

Anti-Bribery & Anti-Corruption

Zero-Tolerance Approach

We maintain a strong anti-bribery and anti-corruption framework supported by training, due diligence, monitoring, and reporting mechanisms.

Governance in Action

  • Robust due diligence for high-risk transactions
  • Protected reporting channels for raising concerns

Speak-Up Culture

Whistleblower Protection

Employees, contractors, and stakeholders can raise concerns through multiple confidential and anonymous channels without fear of retaliation.

Our ESG Governance Framework

Our Board provides oversight of ESG and climate-related priorities through a dedicated governance framework. An executive - level council drives ESG strategy implementation, monitors performance, and oversees transparent stakeholder reporting, with regular progress updates provided to the Board. The Council includes the CFO, CHRO, and Head of Corporate Affairs, and is responsible for executing ESG strategy, tracking performance, and reporting progress.

Enterprise Risk Management

We have established a comprehensive Enterprise Risk Management (ERM) framework that enables the systematic identification, assessment, monitoring, and mitigation of risks across the organization. Integrated with Business Continuity Planning (BCP), the framework strengthens organizational resilience, supports informed decision-making, and ensures the continuity of critical business operations. Risk oversight is provided through a structured governance mechanism involving the Board, Risk Management Committee (RMC), and Executive Committee (EC), with key risks reviewed regularly to support strategic objectives and business performance.
